Terms of Service

1. Agreement to Terms

By accessing or using InstaBot SaaS ("Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms presented during signup. If you do not agree, do not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be notified 30 days in advance via email and in-app notice. Continued use after changes constitutes acceptance.

2. Description of Service

InstaBot SaaS is a multi-tenant Instagram automation platform that enables users to:

• Connect Instagram Business/Creator accounts via Meta OAuth 2.0
• Define manual routing rules (source → destination accounts)
• Automatically copy posts (Reels, Feed, Stories, Carousels) with media processing
• Apply watermarks, SEO hashtags, deal hooks, and promotional content
• Shorten URLs via integrated providers (Bitly, TinyURL, Rebrandly, etc.)
• Inject referral codes into copied links (referral hijacking)
• Schedule promotional posts and track analytics/earnings

The Service uses Instagram Graph API v19.0. We are not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc. or Instagram.

3. Eligibility & Account Requirements

• You must be 18+ (or age of majority in your jurisdiction)
• You must have a valid Instagram Business or Creator account
• You must own or have explicit authorization for all connected accounts
• You must comply with Instagram Platform Terms, Community Guidelines, and API Terms
• One account per person/entity; no sharing credentials
• You are responsible for all activity under your account

4. Acceptable Use

You agree NOT to use the Service for:

• Posting copyrighted content without authorization
• Spam, bulk unsolicited content, or engagement manipulation
• Adult/NSFW content, hate speech, harassment, or illegal activities
• Impersonation, identity theft, or fraudulent schemes
• Circumventing Instagram rate limits or technical measures
• Scraping, data mining, or reverse engineering the Service
• Reselling access without Enterprise white-label license
• Any activity violating applicable laws or third-party rights

We reserve the right to suspend/terminate accounts violating these terms without refund.

5. Content & Intellectual Property

5.1 Your Content

You retain ownership of content copied via the Service. You grant us a limited license to process, store, and transmit your content solely to provide the Service.

5.2 Our Content

All Service IP (software, UI, algorithms, documentation, trademarks "InstaBot") remains our property. No license granted except as needed to use the Service per these Terms.

5.3 DMCA / Copyright

We respond to valid DMCA takedown notices. Repeat infringers subject to termination. Submit notices to dmca@instabot.iowith: your contact info, description of work, infringing URL, good-faith statement, accuracy statement, signature.

5.4 User Feedback

Feedback, suggestions, or ideas you submit become our property without compensation or attribution.

6. Subscriptions & Billing

6.1 Plans

• Free: $0/mo — 1 source, 1 destination, 50 posts/day
• Pro: $19/mo — 5 sources, 5 destinations, 500 posts/day
• Pro+: $49/mo — Unlimited sources/destinations, 5,000 posts/day
• Enterprise: Custom — dedicated infrastructure, white-label, SSO

6.2 Billing

• Monthly billing in advance; annual = 20% discount
• Prices exclude taxes (added where applicable)
• Upgrades immediate with proration; downgrades at cycle end
• Failed payments: 3 retries over 7 days, then suspension
• No refunds for partial months except 14-day money-back on new paid subscriptions

6.3 Cancellation

Cancel anytime in Settings → Billing. Access continues until period ends. Data retained 30 days post-cancellation.

7. Free Trial

• 14-day free trial on Pro/Pro+ (no credit card required)
• Full feature access during trial
• Auto-downgrades to Free tier after trial unless upgraded
• One trial per person/entity; abuse = permanent ban

8. Rate Limits & Fair Use

Instagram enforces per-account daily limits:

• 200 Reels/day
• 50 Feed posts/day
• 50 Stories/day

InstaBot enforces these via token bucket per user. Excess posts queue and process at midnight UTC reset. We may throttle accounts exceeding fair use to protect system stability.

9. Service Availability & SLA

• Target uptime: 99.9% (Pro+/Enterprise); best-effort (Free/Pro)
• Scheduled maintenance: Sundays 02:00-04:00 UTC (48h notice)
• No liability for Instagram API outages, rate limit changes, or policy changes
• Enterprise SLA: credits for downtime > 0.1% monthly (per agreement)

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

We do not warrant: (a) specific copy success rates; (b) earnings from shorteners/referrals; (c) Instagram will not change APIs/policies; (d) content will not be flagged/removed by Instagram.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTABOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Total liability capped at fees paid in preceding 12 months (or $100 if Free tier). Some jurisdictions don't allow these limitations; they apply to maximum extent permitted.

12. Indemnification

You agree to indemnify, defend, and hold harmless InstaBot, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your content; (c) your violation of these Terms; (d) your violation of third-party rights.

13. Termination

• You may terminate anytime by canceling subscription
• Terms violation, non-payment, inactivity > 180 days, legal requirement
• On termination: license ends, access revoked, data deleted per retention policy
• Surviving sections: 4, 5, 10, 11, 12, 13, 14, 15, 16

14. Governing Law & Disputes

These Terms governed by California law, USA. Exclusive jurisdiction: state/federal courts in San Francisco County.

Arbitration: Disputes resolved via binding arbitration (JAMS rules) before litigation. Class actions waived. Opt-out within 30 days of first use by emailing legal@instabot.io.

15. General Provisions

• Entire Agreement: These Terms + Privacy Policy = complete agreement
• Severability: Invalid provisions severed; remainder enforceable
• Waiver: Failure to enforce ≠ waiver of future enforcement
• Assignment: We may assign; you may not without written consent
• Force Majeure: Not liable for events beyond reasonable control
• Language: English version controls; translations for convenience only
